About Jeremy

 

He has built and led major practices in Big 4, US and UK law firms and joined Jurit as a partner from Reed Smith LLP. This mix of boardroom, private equity and entrepreneurial experience means Jeremy is as comfortable guiding founder owners through a once in a lifetime transaction as he is acting for listed companies and global groups.

Jeremy is one of the most experienced advisers in the employee ownership trust (EOT) space, having advised on more than 150 EOT sales with an aggregate value in excess of £2bn. He is frequently instructed by other law firms and accountancy practices as their specialist EOT and share plan adviser, reflecting both the depth of his technical knowledge and his ability to unblock difficult structuring and HMRC issues.

Beyond EOTs, Jeremy advises on the full range of employee incentive and remuneration structures, including EMIs, CSOPs, SAYE, SIPs, growth shares, share acquisition plans, LTIPs and phantom plans. He also advises on boardroom pay, corporate governance and executive remuneration, and has previously advised FTSE 100 boards on how to align pay, performance and stakeholder expectations.

His corporate practice spans M & A, joint ventures, shareholder agreements, directors’ duties, shareholder disputes and investment rounds, together with management buy outs and buy ins, partnership and LLP arrangements, and complex corporate restructurings (including group reorganisations, spin offs and LLP conversions). Clients value his ability to combine detailed tax and incentives expertise with clear, commercial corporate advice on the deal as a whole.

Jeremy has extensive international experience, having led global roll outs of share plans across the US, EU countries, South Africa, Thailand, Malaysia, Japan, China, India, Australia and New Zealand. He also works closely with Indian and Maltese businesses on their UK activities, providing both consultancy and legal services to boards and shareholders.

Jeremy holds an MBA from Bayes Business School, which underpins his pragmatic, business first approach to legal advice.

Outside his client work, Jeremy plays sport and is a committed goldendoodle daddy.
