About Jeremy
Jeremy is a corporate and employee incentives lawyer with over 25 years’ experience advising and working with many types of business.
Having successfully led significant practices in Big 4 firms and US and UK law firms, Jeremy joined Jurit as a partner from Reed Smith LLP. Jeremy’s core offering is to provide commercial tax-efficient solutions to businesses and their management and shareholders. He provides corporate, commercial and tax advice to a range of businesses from start-ups to multinationals.
Jeremy is an experienced corporate and employee benefits lawyer at the highest level and had advised on more than 150 employee ownership trust sales. He is often hired by law firms and accounting firms to advise on employee ownership trust and other share plan issues for their clients.
He advises on boardroom pay issues and corporate governance and had advised FTSE 100 boards on remuneration.
Jeremy advises on all kinds of employee share plan issues including EMIs, CSOPs, SAYE, SIPs, growth shares, share acquisition plans, LTIPs and phantom arrangements.
Jeremy also advises on joint ventures, shareholder agreements, directors’ duties, shareholder disputes as well as investment rounds.
Experience
- Completing over 150 employee ownership trust sales totalling over £2bn consideration;
- Successfully advising Roadchef Employee Benefits Trustees Limited on trust and tax issues relating to over 2,000 beneficiaries;
- Successfully advising clients negotiating with HMRC on various matters including employee benefit trusts, valuation and pension arrangements;
- Advising on global rollouts of share plan arrangements relating to various jurisdictions including US, EU countries, South Africa, Thailand, Malaysia, Japan, China, India, Australia, New Zealand;
- Acting on buy and sale side on a number of third party corporate transactions;
- Advised on various management buy-outs and buy-in arrangements;
- Advised on many partnership and LLP arrangements;
- Advised on many corporate restructurings including new group arrangements, spin offs, LLP incorporations and other reorganisations;
- Implemented all types of employee share plan and incentive arrangement.
He is a trustee of an UK/Indian charity RISE UK, which provides educational support in the UK and India.
Jeremy works a lot in Malta and India and does lots of multi-jurisdictional work. In particular, Jeremy provides consultancy services and legal services for many Indian and Maltese companies in the UK.
He also has an MBA from Bayes Business School.
